Our corporate and M&A practice in London supports international and domestic public companies, mid-sized and emerging businesses, investment firms and high net-worth individuals on a wide range of M&A, equity financing, and other corporate matters. Partners Simon Evers and David Ramm lead the Corporate Group in our London office. The team comprises transactional lawyers who have all trained and worked with some of the world’s leading corporate law firms, advising on large and extremely complex deals.   • Advised a world leading Canadian information management company on the multi-jurisdictional financing of its acquisition of a UK SaaS business listed on the London Stock Exchange.
  • Acted for a critical minerals pricing and data provider on an acquisition of a leading energy transition data and market intelligence provider. 
  • Acted for a leading Italian supplier of innovative and effective microelectronics global solutions, on the acquisition of a semi-conductor testing business.
  • Advised a publicly traded special purpose acquisition company, on its business combination agreement with a UK-based autonomous technology company.
  • Acting for a leading scientific healthcare developer on the proposed disposal of one of its subsidiaries involving a pre-sale sale reorganisation to transfer the relevant proprietary intellectual property.
  • Advised a special purpose acquisition vehicle on its proposed acquisition of circa 98 per cent of the issued share capital of an Australian business in the clean and renewal energy sector.

Venture Capital Investment

  • Assisted a leading non-bank payment provider with bridge funding investments and establishing gold-backed payment systems for various US states.
  • Acted for a critical minerals pricing and data provider on the sale of 20% of its shares to a US-based growth equity investor.
  • Assisting a biotechnology company with a fundraise and subsequent asset disposal, involving structuring the transaction and negotiating investment and sale documents.
  • Assisted a pioneering medtech company focused on liver health, with debt restructuring and an investment round.
