Overview

Melissa Moravec is a counsel in the firm’s Corporate and Health Care groups. Melissa regularly advises public and private companies on cross-border and U.S. domestic transactions, including mergers and acquisitions, dispositions, reorganizations, and joint ventures. Melissa also advises clients on general corporate and complex commercial matters. Melissa’s corporate practice spans multiple industries, including health care, hospitality, sports and entertainment, and technology.

During law school, Melissa graduated magna cum laude and was elected to Order of the Coif. She also served as a managing editor for the Minnesota Law Review and received the Clinical Legal Education Association’s Outstanding Student Award.

Representative Matters

  • Regularly advising a multinational managed health care and insurance company in a wide range of strategic transactions, including:
  • The acquisition of one of the largest independent multi-specialty medical groups in New York; 
  • The acquisition of a leading provider of technology services for the management of post-acute care; 
  • The acquisition of a leading provider of end-to-end payment integrity solutions; and 
  • The acquisition of a pharmacy, telepsychiatry and medication management services provider. 
  • Representing sports teams and owners of sports teams in acquisitions, dispositions, reorganizations, and other strategic transactions, including: 
  • The San Antonio Spurs in connection with the repurchase of equity interests from 13 investors and a related reorganizational transaction; 
  • The San Antonio Spurs in connection with a strategic investment from Sixth Street, a leading global investment firm, and Michael Dell, Chairman and Chief Executive Officer of Dell Technologies; 
  • Joe Tsai, executive vice chairman and co-founder of Alibaba Group and owner of the Brooklyn Nets and the National Lacrosse League (NLL) San Diego Seals, in the purchase of a new expansion NLL team based in Las Vegas; and 
  • Mikhail Prokhorov in the sale of his 51% controlling interest in the Brooklyn Nets to an entity controlled by Joe Tsai. 
  • Advised a publicly traded software company on its acquisition of a provider of dynamic application security testing and Application Program Interface security testing solutions. 
  • Advised a publicly traded cybersecurity company on its acquisition of a French cybersecurity company.
