Overview

Lisa Henneberry is a partner in the firm’s Energy practice. She has extensive experience in the development, construction and operation of infrastructure projects and related commodity transactions, particularly in the energy sector. These include handling all aspects of projects related to both conventional and renewable power generation, natural gas, LNG, and carbon-free and renewable fuels, as well as the development and construction of complex infrastructure across multiple industries (chemicals, steel, iron, heavy fuel products). She also has extensive experience in the negotiation and arbitration of energy commodity disputes, particularly in relation to natural gas and LNG price. 

The combination of Lisa’s transactional and disputes expertise allows her to advise clients not only on the traditional transactional aspect of project development on the front end, but to anticipate – and help to define mitigation strategies around – issues likely to arise over the life of the project. Should issues ultimately arise, Lisa brings a unique perspective to identifying, and implementing, potential solutions from both a transactional and dispute resolution perspective, and, often, a combination of both.

Lisa has significant experience representing suppliers, purchasers, transporters and shippers of natural gas, lithium, coal, coke, steam, biofuels, petrochemicals and power around the world, including both short and long-term cross-border contracts, for both trading and direct consumption purposes, as well as pooling and aggregating arrangements. She has also represented energy developers and offtakers in the development, construction and operation of conventional and renewable power generation facilities, chemicals plants, industrial plants, biofuels facilities, LNG terminal, and pipelines, including all associated capacity, input, and offtake contracts throughout the Americas and in several other countries around the world.

Lisa was recognized as one of Latinvex’s "Top 100 female lawyers" for Energy.

Representative Matters

Feedstock, Natural Gas, & LNG

Transactional

  • Representing the developer of a lithium production facility on the structuring, preparation, and negotiation of its long-term lithium supply contracts.
  • Serving as lead project counsel on the development of an LNG facility in Altamira, Mexico, including development of terms and conditions of LNG sales to the electric utility and related throughput arrangements under Mexico’s public procurement laws, as well as new contractual arrangements following expiry of original contracts.
  • Advising an Indian LNG importer in the procurement of long-term LNG supply, including evaluation of portfolio supply, dedicated supply, and new development options.
  • Representing a U.S.-based gas marketing company in the negotiation and implementation of multiple long-term cross-border natural gas supply agreements to serve power generation facilities in Mexico, including related U.S. and Mexican pipeline transportation arrangements. 
  • Representing a private equity-backed company in the development of a biofuels plant, including related feedstock supply arrangements.

Disputes

  • Representing a Spanish energy company in a UNCITRAL arbitration proceeding in connection with an LNG price review claim, successfully defending against the claim and prevailing on a counterclaim, collectively worth more than US$4 billion.
  • Representing an Italian energy company in connection with a change of circumstances claim during the global pandemic, facilitating a successful negotiated settlement.
  • Successfully representing an Italian utility in an ICC proceeding seeking revision of a natural gas contract sales price worth more than €500 million.
  • Counsel to a European energy company in a price review arbitration under a natural gas sales agreement with an Algerian supplier, which was favorably resolved immediately prior to hearing.

Power Generation

  • Representing a Hydrogen fuel cell supplier on the negotiation of an equipment supply and installation agreement and maintenance services agreement.
  • Advising a Mexican cement producer on the preparation and negotiation of a power purchase agreement for an inside-the-fence solar project and for an integrated heat recovery system.
  • Represented a global energy company in the acquisition of a portfolio of U.S. power generation assets and related gas marketing and supply company.
  • Counseling a U.S. energy company in the negotiation of power island supply agreement, EPC contract, and tolling agreement in connection with the proposed development of a 600 megawatt power generation facility to be located in Mississippi.
