Washington – December 21, 2020: Crowell & Moring advised Olam International Limited (OIL) in its acquisition of the US-based chile pepper business (CPB) of Mizkan America, Inc., a major maker of condiments and sauces, for US$108.5 million. New Mexico-based CPB is one of the world’s leading suppliers of premium green chiles, jalapeños, and enchilada sauces. This acquisition, conducted through OIL’s subsidiary, Olam Americas Inc., is the first major acquisition for Olam Food Ingredients (OFI), the new operating group created after the reorganization within OIL earlier this year. The transaction is subject to US antitrust regulatory approval and customary closing conditions, which are expected to complete in January 2021

Washington – December 16, 2019: Crowell & Moring advised Humana Inc. on its proposed acquisition of Enclara Healthcare, one of the nation’s largest hospice pharmacy and benefit management providers, from Consonance Capital Partners. The Enclara acquisition provides Humana with the opportunity to extend its comprehensive care continuum strategy to cover the pharmacy-related needs associated with hospice care, simplify the mail order pharmacy experience, and advance its technology stack for in-home pharmacy through areas such as enhanced mobile medication management and improved electronic medical record (EMR) connectivity.

Washington – February 7, 2018: Crowell & Moring LLP represented NRG Yield, Inc. in negotiating agreements to acquire the Carlsbad Energy Center, a 519 megawatt gas-fired generating facility under construction in California, for $365 million in cash plus assumed debt of $601 million, and the Buckthorn Solar Generating Facility, a 154 megawatt facility under construction in Texas, for $42.3 million in cash plus assumed debt of $131 million.

On June 29, 2017, the Supreme Court of California issued a decision that may create a trap for the unwary for persons acquiring or selling businesses. In 926 North Ardmore Avenue, LLC v. County of Los Angeles, the Court held that California’s documentary transfer tax applies to conveyances of interests in legal entities that own real estate if the conveyance results in a transfer of beneficial ownership in real estate, which is determined based on the “change of ownership” provisions of California’s property tax law. The decision could have widespread impact.

The federal government released final rules pertaining to Privacy, Security, and Breach reporting compliance under the Health Information Technology for Economic and Clinical Health (HITECH) Act. These rules are intended to strengthen the privacy and security protections for health information established under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). The Omnibus Final Rule poses a number of challenges for health plan implementation from a technological standpoint as well as compliance and policy perspective. The new requirements come at a time when health plans are already undergoing massive delivery system transformation under the Affordable Care Act.
