Washington – December 16, 2019: Crowell & Moring advised Humana Inc. on its proposed acquisition of Enclara Healthcare, one of the nation’s largest hospice pharmacy and benefit management providers, from Consonance Capital Partners. The Enclara acquisition provides Humana with the opportunity to extend its comprehensive care continuum strategy to cover the pharmacy-related needs associated with hospice care, simplify the mail order pharmacy experience, and advance its technology stack for in-home pharmacy through areas such as enhanced mobile medication management and improved electronic medical record (EMR) connectivity.

New York – November 26, 2019: Crowell & Moring advised GigCapital, Inc. on its business combination with Kaleyra S.p.A., a rapidly growing cloud communications software provider delivering secure application programming interfaces and connectivity solutions in the API/Communications Platform as a Service market.

On January 8, 2021, the Small Business Administration (SBA) issued revised Paycheck Protection Program (PPP) Borrower Application forms for new “first-draw” loans and “second-draw” loans for prior PPP borrowers. SBA and the Treasury Department also announced that the PPP will re-open the week of January 11 for new borrowers and certain existing PPP borrowers eligible for second-draw loans. 

On January 7, 2021, the Small Business Administration (SBA) released two Interim Final Rules (IFRs) regarding amendments to the Paycheck Protection Program (PPP) by the Economic Aid to Hard-Hit Small Businesses, Nonprofits, and Venues Act (Economic Aid Act).

The U.S. Congress passed a combined COVID-Relief and Omnibus Spending Bill on Monday, December 21, 2020.  The Consolidated Appropriations Act of 2021—both funded the U.S. government for FY 2021 and included a variety of COVID-19-related relief measures. The COVID-19 bill includes about $900 billion in new federal spending. It also repurposes $429 billion in unused CARES Act funding for the Federal Reserve Main Street Lending Program. The combined appropriations-COVID-19 stimulus relief package is the second largest in the nation’s history behind the CARES Act passed earlier this year.

On Tuesday, April 5, 2020 at 3 p.m. Eastern, Ken Dodds of Live Oak Bank, a leading SBA lender, will join Crowell & Moring attorneys and policy advisors in a webinar addressing the CARES Act’s Paycheck Protection Program (PPP).  Just over a week after the creation of this lifeline small business loan platform, the webinar will address updates to program eligibility, the current SBA Form 2483 borrower application, and loan calculations and forgiveness based on the SBA’s interim final rules and guidance that have been issued in the past week. 

The Ladenburg Thalmann Technology Expo will feature presentations from the management of approximately 60 technology companies covering connectivity, cloud and enterprise software, cyber-security, media, semiconductors, IP and equipment, virtual and augmented reality, block-chain, AI and e-commerce. The Economic Aid to Hard-Hit Small Businesses, Nonprofits, and Venues Act section of the Omnibus Spending Bill (the “Bill”), passed on December 21, 2020, authorizes $806.5 billion for an extended period of the Paycheck Protection Program (“PPP”) with new or “second draw” loans available through March 31, 2021, and a number of enumerated set asides for specific appropriations.  The legislation reflects a combination of extension of original CARES Act PPP provisions along with a significant number of changes that permeate multiple areas from tax treatment to loan eligibility to the use of loan proceeds.
