Deal Note: Crowell & Moring Advises GigOptix in Its Acquisition of Terasquare

Washington, D.C. – September 30, 2015: GigOptix, Inc., a leading supplier of advanced semiconductor communications components for use in Cloud connectivity, data centers, and high-speed optical and wireless networks, announced on September 30, 2015 the acquisition of Terasquare, Co. Ltd., a Seoul, Korea-based, fabless semiconductor company and provider of low power, CMOS high speed communication interface semiconductors for 100Gbps Ethernet, Fiber Channel, and EDR Infiniband applications.
Crowell & Moring served as lead legal counsel to GigOptix in the acquisition, and the team included: San Francisco partner Jeffrey C. Selman, New York counsel Brian Blitz and San Francisco associate Karen Kopel.
This transaction comes directly on the heels of Crowell & Moring’s work advising GigOptix on the pricing of its underwritten public offering of an aggregate of 10,643,000 newly issued shares of common stock at a price of $1.70 per share.

Washington: Crowell & Moring secured a U.S. Supreme Court victory on behalf of the Alliance for Responsible Atmospheric Policy (ARAP) and the Air-Conditioning, Heating, and Refrigeration Institute (AHRI) when the Court denied RMS of Georgia’s petition for writ of certiorari in RMS of Georgia v. Environmental Protection Agency. This ruling preserves a favorable decision by the U.S. Court of Appeals for the District of Columbia Circuit regarding implementation of the American Innovation and Manufacturing Act (AIM Act). The AIM Act provides for the phasedown of the use of hydrofluorocarbons (HFC) based on their high global warming potential. HFCs are used in many important sectors of the economy including air-conditioning and refrigeration, insulating foams, industrial solvents, aerosol sprays, and laboratory equipment. ARAP and AHRI, as associations representing businesses that produce and use HFCs and their replacements, have a vital interest in the orderly implementation of the AIM Act.
