Crowell & Moring Represents Nuclear Energy Startup Atomic Alchemy in its Acquisition by Oklo

March 11, 2025: Oklo Inc. (NYSE: OKLO), an advanced nuclear technology company, announced on March 5, 2025 that it has closed the $25 million acquisition of Crowell client Atomic Alchemy Inc. (“Atomic Alchemy”), a leading innovator in radioisotope production. Oklo intends to use this strategic acquisition to establish a more reliable domestic supply chain for high-value radioisotopes critical to healthcare, research, and defense sectors and provides synergies to Oklo’s fuel recycling and nuclear energy businesses. Demand for radioisotopes is expected to increase significantly over the next decade, while global supply struggles to keep pace due to aging reactor infrastructure and a fragmented global supply chain, which at present is dominated by countries outside the United States. Atomic Alchemy intends to be a low-cost U.S. radioisotope producer that can provide a secure and domestic supply of radioisotopes to U.S. companies commercializing innovative radioisotope applications. With its proprietary VIPR® technology, Atomic Alchemy is building the first scalable production facility to provide a reliable, sustainable source of high-value radioisotopes. Using a vertically integrated model and fuel recycling, in partnership with Oklo, Atomic Alchemy is transforming isotope production to address global shortages, support critical applications, and strengthen national security. The core deal team included Samuel Holland Edwards, Jon O’Connell, Justin Lurie, and Ryan Flynn.

For Better or MORSE: Another Settlement Under DOJ’s Civil Cyber-Fraud Initiative

On March 26, 2025, the Department of Justice (DOJ) announced that defense contractor MORSECORP Inc. (MORSE) will pay $4.6 million to settle allegations that MORSE violated the False Claims Act (FCA) by failing to comply with cybersecurity requirements and subsequently submitting false or fraudulent claims for payment in its contracts with the Departments of the Army and Air Force. This is the first FCA settlement that is based on a defense contractor’s failure to reevaluate and promptly update its self-assessment score in the Supplier Performance Risk System (SPRS) after a third-party assessment resulted in a lower score.

"The Tide is High: New Guidance on Sea-Level Rise," The Bar Association of San Francisco

Jon Welner will be interviewing Larry Goldzband, the Executive Director of the San Francisco Bay Conservation and Development Commission (BCDC), on the Commission’s new plan to prepare the SF Bay Area for sea-level rise. BCDC is the agency responsible for permitting all development on the shoreline of San Francisco Bay. On December 5, 2024, the BCDC adopted the Regional Shoreline Adaptation Plan (RSAP). The RSAP is a region-wide plan for the San Francisco Bay shoreline that guides the creation of coordinated, locally planned sea level rise adaptation actions that work together to achieve a regional One Bay Vision. This includes BCDC’s guidelines for how local governments must meet the requirements of SB 272, a new State mandate that requires all local governments along the shoreline to prepare a Subregional Shoreline Adaptation Plan by 2034.
